1. Acceptance of Terms
By accessing or using the Cingo Insights platform, website, or any related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are accessing the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms. If you do not agree to these Terms, you may not use the Service.
2. Description of Service
Cingo Insights provides a data integration and analytics platform that connects to third-party business systems (including but not limited to Veeva, SAP Concur, and Salesforce) and surfaces patterns, observations, and insights from the data contained within those systems. The Service is intended for use by authorized business users within life sciences organizations.
3. Eligibility and Account Registration
The Service is available only to businesses and organizations, not to individual consumers. To access the Service, you must complete an onboarding process and receive authorization from Cingo Insights. You are responsible for maintaining the confidentiality of your access credentials and for all activity that occurs under your account.
4. Authorized Use
You agree to use the Service only for lawful business purposes and in accordance with these Terms. You agree not to:
- Use the Service in any way that violates applicable federal, state, local, or international laws or regulations;
- Attempt to gain unauthorized access to any portion of the Service or any related systems or networks;
- Interfere with or disrupt the integrity or performance of the Service;
- Reverse engineer, decompile, or otherwise attempt to extract the source code of any part of the Service;
- Use the Service to process data for which you do not have appropriate authorization from the relevant data subjects or data controllers;
- Resell, sublicense, or otherwise transfer access to the Service to any third party without prior written consent from Cingo Insights.
5. Data and Integrations
By connecting third-party platforms to the Service, you authorize Cingo Insights to access and process the data available through those integrations for the purpose of delivering insights and analytics to you. You represent and warrant that you have the right to connect such systems and to authorize the processing of the data contained therein.
You remain solely responsible for the accuracy, quality, and legality of the data you provide or make accessible through the Service. Cingo Insights does not verify the accuracy of underlying data and is not responsible for decisions made based on the insights generated.
6. Intellectual Property
The Service, including its underlying software, algorithms, models, interfaces, and documentation, is the proprietary intellectual property of Cingo Insights. Nothing in these Terms grants you any ownership interest in the Service or its components.
You retain all ownership of the data you provide or make accessible through the Service. You grant Cingo Insights a limited license to access and process that data solely to provide the Service to you.
7. Confidentiality
Each party agrees to keep confidential any non-public information received from the other party in connection with the Service ("Confidential Information"), and to use such information only for the purposes set out in these Terms. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.
8. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND. CINGO INSIGHTS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
Insights generated by the Service are informational in nature and are not professional, legal, regulatory, or compliance advice. You are solely responsible for evaluating and acting on any information provided by the Service.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CINGO INSIGHTS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.
IN NO EVENT SHALL CINGO INSIGHTS'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE EXCEED THE AMOUNTS PAID BY YOU TO CINGO INSIGHTS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
10. Indemnification
You agree to indemnify, defend, and hold harmless Cingo Insights and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your infringement of any third-party rights.
11. Term and Termination
These Terms remain in effect for as long as you access or use the Service. Cingo Insights may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, all rights granted to you under these Terms will immediately cease.
12. Modifications to the Service or Terms
Cingo Insights reserves the right to modify these Terms or the Service at any time. We will provide notice of material changes by updating the "Last updated" date at the top of this page or by other reasonable means. Your continued use of the Service after such changes constitutes your acceptance of the updated Terms.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Cingo Insights is incorporated, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved exclusively in the courts of competent jurisdiction in that location, and you consent to personal jurisdiction in those courts. We will update this section with the specific governing jurisdiction upon completion of corporate formation.
14. Entire Agreement
These Terms, together with any applicable order forms or agreements entered into between you and Cingo Insights, constitute the entire agreement between the parties with respect to the Service and supersede all prior agreements, representations, and understandings.
